The Bank of Khyber (BOK) is currently seeking applications for the position of Company Secretary. This role is critical in ensuring the bank complies with corporate governance standards, maintaining proper records, and facilitating communication between the board of directors and stakeholders. The ideal candidate will be detail-oriented, with excellent organizational and legal skills.
Responsibilities
- Provide legal, financial, and strategic advice to the board of directors.
- Ensure compliance with statutory and regulatory requirements related to corporate governance.
- Oversee the preparation and management of all company documentation, including board minutes, resolutions, and contracts.
- Coordinate and organize board meetings and annual general meetings (AGMs).
- Maintain records of all company meetings, ensuring they comply with regulatory standards.
- Act as a liaison between the company’s shareholders, management, and the board.
- Ensure timely and accurate filing of regulatory documents.
- Stay informed on corporate governance trends and changes in legislation.
- Advise senior management on corporate law matters and internal governance processes.
Qualifications
Educational Requirements:
- Bachelor’s or Master’s degree in Law, Business Administration, or related fields.
- Professional certifications in corporate governance or company secretarial work are a plus.
Experience and Skills:
- Proven experience as a Company Secretary or in a similar role, preferably within the banking or financial sector.
- Strong understanding of corporate law, governance, and regulations.
- Excellent communication, organizational, and time-management skills.
- Ability to handle sensitive and confidential information with discretion.
- Knowledge of the regulatory framework for banking and finance in Pakistan.
- Proficiency in Microsoft Office Suite and familiarity with secretarial software.
